Guerilla Apps Terms of Service

At Guerilla Apps, we’re committed to delivering exceptional mobile solutions that exceed your expectations. These Terms of Service outline our mutual responsibilities and expectations in clear, straightforward language. We believe in transparency and building lasting partnerships, which is why we’ve avoided legal jargon and confusing clauses. Our goal is to establish a framework that benefits both of us, today and moving forward.

Guerilla Apps reserves the right to update these Terms of Service periodically. By continuing to use our services after any modifications, you acknowledge that you’ve reviewed and accepted the updated terms. We encourage you to check back regularly to stay informed of any changes.

We maintain the flexibility to adjust or discontinue any service offerings, features, or pricing structures as needed. Should we make such changes, neither you nor any third party will have claims against Guerilla Apps. New features and enhancements will automatically fall under these Terms of Service.

CLIENT RESPONSIBILITIES & OUR COMMITMENT

To work with Guerilla Apps, you must be authorized to enter into this agreement on behalf of your business or organization. Your cooperation is essential: you’ll need to supply all necessary materials—including content, images, technical specifications, and assets—in the requested format and timeline. We also need your timely feedback and approvals to keep the project moving forward. Both parties are equally bound by agreed-upon schedules and milestones. Payment terms outlined later in this document must be followed.

Guerilla Apps brings extensive mobile development expertise to every project. We’re committed to professional execution and meeting established deadlines. However, we cannot be held accountable for delayed launches when materials arrive late or approvals are postponed. Your information remains confidential throughout our engagement and beyond.

APPLICATION DESIGN & DEVELOPMENT PROCESS

Our design process covers the complete user interface, user experience, layout, and functional architecture of your mobile application. You’ll receive multiple opportunities to review progress and share feedback. We maintain open communication channels and provide regular updates throughout development.

Your project investment includes one comprehensive initial design concept and two revision cycles. Should the design not meet your expectations after these revisions, you have two options: pay for all completed work and terminate the agreement, or continue the project with additional revisions billed at our standard hourly rate.

SCOPE MODIFICATIONS & ADDITIONAL REQUESTS

Fixed-scope projects can restrict innovation and limit your ability to adapt as ideas evolve. At Guerilla Apps, we embrace flexibility. Your initial cost estimate reflects the anticipated hours needed based on our project consultation. You’re welcome to request modifications, add features, or expand functionality even after the included revision rounds are complete.

Any changes requested prior to launch but beyond the two included revision cycles will be billed at our current hourly rate. This approach ensures you’re never locked into your first idea and can adapt as your vision develops. If you ultimately decide our design doesn’t fit your needs, full payment for completed work is required before contract termination.

CONTENT CREATION

Content writing and copywriting fall outside Guerilla Apps’ service scope. Should you need in-app text, descriptions, or marketing copy, you’ll need to engage a professional copywriter independently. All associated costs for content creation services are your responsibility.

VISUAL ASSETS & MEDIA

Please provide all graphic elements as editable vector files. Photos and images should be high-resolution digital files suitable for mobile displays. We’re happy to recommend stock asset libraries if you need to source additional visuals. Asset research and selection can be added to your project scope for an additional fee upon request.

DEVICE & PLATFORM COMPATIBILITY

Guerilla Apps tests all applications across current iOS and Android versions on multiple device configurations. Our testing ensures proper functionality and appropriate user experiences across varying screen sizes and device capabilities.

Our standard testing includes:

• iOS: Current and previous major release versions on iPhone and iPad devices
• Android: Current and previous major release versions on popular manufacturer devices

Older OS versions, emerging platforms, or specialized device testing falls outside our standard scope. If your app requires compatibility with specific configurations not listed above, we’ll provide a custom testing estimate.

APP MARKETPLACE DEPLOYMENT

We’ll assist in preparing your application for Apple App Store and Google Play Store distribution, including asset preparation and store listing optimization. You’re responsible for maintaining active developer accounts 

(Apple: $99 annually, 

Google: $25 one-time fee) 

and handling submission processes. Final approval rests with Apple and Google and remains outside our control, as their review criteria and timelines vary.

INFRASTRUCTURE & TECHNICAL MANAGEMENT

If your app requires backend services, APIs, or cloud infrastructure, you’re responsible for ongoing management unless we’ve arranged otherwise. Guerilla Apps can configure initial infrastructure, but routine maintenance, updates, and troubleshooting are your responsibility. Third-party service issues should be directed to those providers.

Should you modify the codebase post-delivery or engage another developer, Guerilla Apps cannot be held responsible for resulting issues or functionality problems.

ONGOING APP CARE PACKAGES

Without an active maintenance agreement, Guerilla Apps provides no obligation to address post-launch issues beyond the included 14-day revision period. Ongoing support requires a monthly App Care subscription.

We offer three maintenance tiers:

FOUNDATION PLAN: Up to 30 minutes of minor updates monthly | 3-business-day response | Single app | Automatic billing required

EXTENDED PLAN: Up to 2 hours of minor updates monthly | 2-business-day response | Single app | Automatic billing required

ENTERPRISE PLAN: Unlimited minor updates monthly | Next-business-day response | Single app | Automatic billing required

As your development partner, we understand optimal app performance is critical to your success. App Care services cover content updates, bug fixes, minor interface adjustments, and technical troubleshooting. Major feature development, comprehensive redesigns, and marketing services are billed separately.

Once your monthly allocation is exhausted, additional work proceeds at our standard hourly rate. Unused monthly hours do not roll over to subsequent months.

LIABILITY LIMITATIONS

While we strive for flawless execution, Guerilla Apps cannot guarantee error-free operation of any mobile application. We accept no liability to you or third parties for damages—including but not limited to lost revenue, lost data, business interruption, or consequential damages—arising from app operation or malfunction, even if such possibilities were previously discussed.

Should any provision in this agreement be deemed unenforceable, it will be separated from the contract without affecting the validity of remaining provisions.

INTELLECTUAL PROPERTY RIGHTS

You affirm that all text, graphics, photos, designs, trademarks, and materials you provide are either your property or used with proper authorization.

Upon receipt of final payment, intellectual property is distributed as follows:

All visual designs, UI elements, and assets created by Guerilla Apps for your project become your property. You’ll receive complete source files for secure storage. Content, photographs, and data you’ve supplied remain your property unless otherwise owned by third parties.

Guerilla Apps retains ownership of the proprietary code architecture, technical implementation, and the integrated design system, which we license to you exclusively for this application. Should you transfer the project to another developer, all files transfer with it. However, Guerilla Apps assumes no responsibility for how third-party developers modify or maintain the codebase.

We take pride in our portfolio and industry contributions. Guerilla Apps reserves the right to showcase your completed application in our portfolio, case studies, publications, and promotional materials across various media platforms.

In unforeseen circumstances that prevent Guerilla Apps from fulfilling contractual obligations, full project ownership and all necessary transfer information will be provided to you.

PROJECT TIMELINES

Mutually agreed deadlines keep projects on track and ensure efficient resource allocation. Launch targets are established to deliver your app within reasonable timeframes. Both parties must honor their respective deadlines to maintain project momentum. Failure to meet deadlines on either side may result in schedule adjustments. Missed launches caused by deadline slippage may incur additional fees unless alternative schedules are negotiated.

PAYMENT STRUCTURE

Prompt payment enables us to sustain our business and deliver quality service to all clients. We appreciate your commitment to the following payment terms.

PROJECT DEVELOPMENT FEES

A non-refundable 50% deposit is required upon contract execution, processed through our secure payment system. Development begins only after receiving both signed contract and deposit payment.

The remaining 50% balance is due before app deployment or by the agreed deadline, whichever occurs first. Upon final payment and launch, you’ll receive complete source code and project file access.

RECURRING SERVICE SUBSCRIPTIONS

Monthly service fees are charged in advance via automatic payment through our secure processing system. Manual payment methods (checks, wire transfers) are not accepted for subscription services. Automatic recurring billing setup is mandatory.

Service suspension occurs within 7 days of missed payment. Reactivation requires full account reconciliation plus a reinstatement fee.

Subscription cancellations require 30 days written notice. Since services are provided monthly in advance, you remain responsible for any prepaid period regardless of cancellation timing. Mid-cycle cancellations receive no prorated refunds.

Prepaid 6-month or 12-month subscriptions are non-refundable. Canceling during a prepaid term forfeits all remaining service value with no prorated refund.

Post-billing-date cancellations remain billed for the current period. Guerilla Apps does not prorate services. Access continues through the final paid month.

Pricing adjustments may occur due to infrastructure cost changes. You’ll receive 45 days advance notice of any price modifications. We work diligently to keep services affordable and competitive.

MARKETPLACE VISIBILITY

Guerilla Apps implements industry best practices for app store optimization and discoverability. However, we cannot guarantee specific ranking improvements or chart positions. Each app is built with optimized metadata and follows platform guidelines to maximize organic visibility potential.

ADDITIONAL TERMS

This agreement is non-transferable without written Guerilla Apps approval. Terms remain in effect continuously without renewal requirements. If any contract provision becomes invalid, all other provisions remain fully enforceable.

This document uses plain language intentionally, but constitutes a legally binding agreement between parties.
